Formation · UK
A UK limited company, on the register.
Registered at Companies House, with a UK registered office, a registered email address, and the identity verification every director now completes. You don't need to live in the UK.
How it works
Verified, filed, then registered with HMRC.
Identity comes first now. Once every director and controller is verified, the filing itself is quick.
Structure
Name check, directors, shareholders, people with significant control, and what the company does.
Identity verification
Each director and person with significant control verifies their identity for Companies House.
Filing
The incorporation application goes to Companies House.
Companies House decides
Certificate
The certificate of incorporation and the company number.
HMRC
Corporation Tax registration, and VAT when the company needs it.
Accounts
Bank and payment applications, with the new papers.
What you get
The company, the address, and the tax registrations.
Incorporation at Companies House
The application, the certificate of incorporation and the company number.
Articles and shares
Model articles or adjusted ones, the share structure and the first share allotment.
A UK registered office
We arrange the address the law requires, and a service address so directors' home addresses stay off the public record.
Identity verification, guided
We walk each director and person with significant control through it before the filing.
HMRC registration
Corporation Tax, and VAT registration if your sales pass the threshold or you register voluntarily.
Account applications after
Bank and payment-account applications, prepared with you. Each institution decides.
Who it's for
For businesses that sell to UK customers, or need a UK entity.
A good fit
- Founders selling to customers in the UK
- Businesses whose providers or partners ask for a UK company
- Non-residents who want a well-known, public register behind them
Not a fit
- Anyone who wants the owners kept off the public record
- Anyone who can't verify their identity with Companies House
- Anyone needing a UK bank account promised in advance
What you'll need
For each director and controller.
- Passport or other photo ID, for identity verification
- Home address (kept off the public record)
- A service address, or one we arrange
- The company name and what the company does
- Who holds the shares, and how many
- Who has significant control, if that's someone else
Every year
What a UK company files.
- Confirmation statement
- Once a year, to Companies House: the company's details are still right.
- Annual accounts
- Filed with Companies House each year, on its deadline.
- Corporation Tax return
- Filed with HMRC each year, with the tax paid on its own deadline.
- Changes as they happen
- New directors, a new address or new controllers are reported when they change.
What it costs
Filing, office and help, quoted together.
Quoted by email.
The Companies House fee is listed apart from ours. The registered office and service address are yearly services, priced on their own.
What moves the fee
- How many directors and controllers to verify
- Model articles or adjusted ones
- Whether we arrange the registered office
- Whether you want VAT and account applications too
Can I be a director if I don't live in the UK?
Yes. A UK company needs at least one director who is a person, and there's no residence rule. The registered office must be in the UK.
What will be public?
The company's name, number and registered office. For directors and people with significant control: name, a service address, nationality, and month and year of birth. Home addresses and full dates of birth aren't published.
Do I need to come to the UK?
No. Incorporation is online, and identity verification is done online or through an authorised agent.
Will a UK bank open an account for me?
Some UK banks ask for a UK address or a visit. Some business accounts accept non-resident directors. Each one runs its own checks and decides; we prepare the applications with you.
Can my home address be the registered office?
It can if it's in the UK, but it becomes public. It must be an appropriate address where post is received; a PO box isn't allowed. We can arrange one that keeps your home off the record.
Do I have to register for VAT?
Only when taxable sales pass the VAT threshold, or if you choose to register earlier. Your accountant can say which applies.
