Terms of service
These terms cover use of Cortana, the payment software described on this site, and the workspace you open to take payments.
The operator
Cortana is the service name. This website does not publish a legal name or postal address for the operator. Both are available on request. Write to [email protected].
The service
Cortana is multi-tenant payment software. You open a workspace, connect payment accounts that belong to you, design a payment page, and take payments from your customers. Connections in a workspace serve that workspace only.
Cortana also sells plans that give you access to the software. A plan fee is a charge for the software. It is billed through the same payment flow the product uses, and it is separate from the money your customers pay you.
Your accounts and your customers
You choose the payment accounts you connect, and you keep the relationship with each provider. You are responsible for those accounts, for the rules of each provider, and for the customers you charge. You need authority to take the payment. The person paying should be able to tell that you are the seller.
Cortana does not stand in as the seller. The service does not replace your name, the description of the charge, or the profile on the payment account you connected.
No custody of funds
Cortana does not hold customer funds. When a payment succeeds, the money settles in the payment account you connected. Cortana does not take a share of those payments. Fees charged by a provider are a matter between you and that provider.
Acceptable use
You will follow the acceptable use rules. Those rules forbid card testing, a transaction for someone else without their authority, and abuse of webhooks or the API.
Plans and fees
You pay the prices shown in the product, including the pricing page, at the time you start or change a plan. A signed order, if you have one, states the price that applies to you. Plan fees are for access to the software. They are not a cut of what your customers pay into the accounts you connect.
Suspension
We may suspend or close a workspace if you break these terms or the acceptable use rules, if a payment account you connected puts other merchants or the service at risk, or if we have to act to keep the service running. Where we can do that without adding to the risk, we will tell you what happened and what you can do next.
You may stop using the service at any time. Stopping does not undo a payment that has already settled in an account you connected, and it does not cancel a plan fee that was already due.
Liability
The operator does not promise that the service will be free of interruption, or that every payment will succeed. Whether a payment goes through depends on the payment account you connected and on the customer.
To the extent the law allows, the operator is not liable for indirect loss, including lost profit, or for funds that move, fail, or are reversed in a payment account you connected. To the extent the law allows a cap, liability for a claim about the software is limited to the plan fees you have paid for the service. Nothing on this page limits liability that the law does not allow us to limit.
This page does not choose a court or a country. A signed order is where that is set, when you have one.
How to read these pages
These are general terms. They are not a substitute for legal advice. A signed order beats this website summary. Where a signed order disagrees with this page, the signed order controls.
